The Merchant is hereby consenting to these Banking Partner Terms and Conditions in favour of the Banking Partners of Ezetap. The Merchant hereby irrevocably and unconditionally agrees to abide by the following terms and conditions:
The Merchant hereby agrees and acknowledges that the software solutions, applications or similar products/ services in relation to digitisation solutions and creation of online platforms/ interface for the Merchant (“Software Solutions”) details of which are provided in Schedule A hereto (including such additional Non-Financial Services of Ezetap or the Third Party Products enabled by Ezetap from time to time and allowed by the Banking Partner in writing to be covered as part of Schedule A of these terms and conditions), provided by Ezetap or the third party software provider(s) of Ezetap (“Third-Party Service Provider”) being offered by Ezetap to the Merchant are being offered independent of the Banking Partner.
The Merchant hereby agrees that any information that the Banking Partner may provide to the Merchant in relation to the Software Solution is only to make the Merchant aware of the same for the convenience of the Merchant and the Banking Partner has no involvement in the offering and/or provision of the Software Solutions and the Banking Partner is not directly or indirectly, providing or involved in selling, advertising, publicising, marketing, promoting, warranting, guaranteeing or endorsing the Software Solutions or the Third Party Service Provider or assuring for the suitability or fitness of the Software Solutions or the Third Party Service Provider to the Merchant or its business or needs.
That the Merchant understands and confirms that the Banking Partner is not earning any fee or commission or consideration from the Third-Party Service Provider or Ezetap for making the Merchant aware of the Software Solutions.
The Merchant hereby agrees and acknowledges that the Merchant has the choice of whether or not to avail of the Software Solutions and in the event the Merchant chooses to avail of the same, the Merchant shall do so at its sole discretion and option.
The Merchant hereby agrees and confirms that prior to purchasing/ availing the Software Solutions the Merchant shall carry out its own due diligence as to the quality, features and effectiveness of the Software Solutions and the Third-Party Service Provider.
The Merchant hereby agrees and confirms that the Banking Partner has not in any manner investigated or examined or carried out due diligence on whether the Third-Party Service Provider has the title or right to market or sell or provide or license the Software Solutions or not and it shall be the responsibility of the Merchant to satisfy itself about the same before availing of any such Software Solutions or services from the Third-Party Service Provider.
The Merchant hereby provides consent to and authorises the Banking Partner to share and disclose information/ data in relation to the Merchant and its business to Ezetap and for Ezetap to share such information/ data with the Third-Party Service Provider, for the purposes of offering the Software Solution to the Merchant.
The Merchant hereby agrees and confirms that any complaints, queries, dispute, etc. that the Merchant or the customers of the Merchant may have in relation to the Software Solutions or the Third-Party Service Provider or Ezetap in relation to the Software Solutions, shall be resolved by the Merchant with the Third-Party Service Provider and/or Ezetap without involving the Banking Partner.
The Merchant acknowledges that the Banking Partner is not in any manner whatsoever undertaking or entering into referral or agency of/with the Software Solutions or Third-Party Service Provider and any direct or indirect relationship (contractual or otherwise) that the Merchant has got into/may get into in this regard with Ezetap or Third-Party Service Provider is and shall be completely independent of the Banking Partner.
The Merchant hereby agrees and confirms that the Banking Partner shall in no event have any liability in relation to the misuse of data of the Merchant, warranty, guarantee, servicing, grievances, non-delivery, service/ product level issues and/or disputes with Ezetap and/or the Third-Party Service Provider, in relation to or arising out of the Software Solution.
The Merchant hereby agrees and confirms that the Banking Partner has in no manner forced or compelled the Merchant to purchase the Software Solutions and the Merchant hereby agrees and confirms that the payment services of the Banking Partner are completely independent of the Software Solutions and that the provision of the payment services by the Banking Partner to the Merchant is in no manner connected to the purchase/ availment of the Software Solutions by the Merchant and shall in no manner impact the relationship of the Banking Partner and the Merchant.
The Merchant hereby agrees that the Merchant shall not hold the Banking Partner responsible or liable in any manner whatsoever for any issue or defect in the delivery, performance and/or quality of the Software Solutions and/or for any fraud, misrepresentation etc. by the Third-Party Service Provider or Ezetap.
